General Terms and Conditions

1. Acceptance of Terms

By accessing or using the Uplit website or mobile application (“Service”), you agree to be bound by these Terms and Conditions (“Terms”). These Terms form a legally binding agreement between you (“User”) and UplitPublishing Pty Ltd (“Uplit”, “we”, “us”).

Feedback submissions are governed by our separate Feedback Terms and Conditions.

2. Platform Overview

Uplit provides tools to authors and readers including content creation, automated writing assistance, eBook publishing, neural-narrated audiobook production, and mobile distribution.

3. User Responsibilities

• You retain ownership of your content but grant Uplit a license to host, display, and promote it.
• You must ensure your content is lawful and does not infringe any rights.
• You are responsible for securing your account credentials.

4. Credits, Payments & Future Payouts

• Uplit’s writing and audiobook-narration tools are powered by platform credits, which you may purchase in Australian Dollars (A$) or earn through use of the Service.
• Readers may purchase your published books and audiobooks. Uplit does not currently operate a payout or withdrawal system, and all sale proceeds are retained by Uplit pending one.
• Sales are tracked in full from the moment they occur. Uplit's current plan is to begin issuing payouts manually, twice yearly, during the financial year commencing 1 July 2027 (FY2028), and to move to an automated payout system from the financial year commencing 1 July 2028 (FY2029). This is a plan, not a guarantee, and may change; any change will be reflected in this policy before it takes effect.
• Payouts under either the manual or automated process will be subject to the payout terms then in force, which are expected to include identity verification, a holding period before funds become payable, and a right to withhold or claw back proceeds attributable to content later found to infringe another party’s rights (see our Copyright & Takedown Policy).

5. Automated Tool Usage

Uplit provides these automated writing and editing features “as is.” You are solely responsible for any automated modifications or enhancements made to your content.

Cover images. Where you create a book cover using Uplit’s automated cover generator or its built-in cover templates, Uplit grants you a worldwide, royalty-free licence to use the resulting cover commercially in connection with your book on the Service and, to the extent the underlying tools permit, elsewhere. You are responsible for the descriptions, titles, and text you provide, and you must not request or produce imagery that is unlawful, infringes any third party’s rights (including copyright, trademark, or likeness), or breaches our content standards. Uplit may screen, reject, or remove any cover at its discretion, and you remain responsible for ensuring your book and its cover comply with these Terms.

6. Limitation of Liability

To the maximum extent permitted by Australian law, Uplit is not liable for any direct, indirect, or consequential loss relating to the use of the Service. Uplit makes no guarantees regarding the availability, accuracy, or reliability of any tools or services provided.

7. Indemnification

You agree to indemnify and hold harmless Uplit, its officers, employees, and contractors against any loss, liability, or expense arising from your use of the platform.

8. Termination

We may suspend or terminate access for violations of these Terms or applicable laws. Content may be removed without notice.

9. Governing Law

These Terms are governed by the laws of Queensland, Australia.
